Bulk VPS Service Agreement

1. Parties

This Bulk VPS Service Agreement ("Agreement") is entered into as of the date signed below, by and between:

Provider: Galaxy Cloud Solutions LLC, Valley City, North Dakota 58072 ("Company")

2. Services

The Company agrees to provision the following VPS instances for the Customer:

Total Monthly Recurring Charge: $ 

Services will be provisioned within a reasonable timeframe following receipt of payment and completion of identity verification as required under Section 5.

3. Payment Terms

• All services are billed monthly in advance.
• Invoices are due within 30 days of issuance.
• If a renewal invoice is not paid by the service's expiration date, the affected services may be automatically suspended shortly afterward.
• Services that remain suspended for non-payment for 7 days may be cancelled and all associated data permanently deleted.
• No refunds are issued for partial months or unused service periods beyond any applicable money-back guarantee window.
• The Company reserves the right to adjust pricing with 30 days written notice.

3.1 Refund Policy for Bulk Orders

All bulk orders are non-refundable once services have been provisioned. By signing this Agreement and submitting payment, the Customer acknowledges and agrees that:

• No refunds will be issued once any VPS instance under this Agreement has been provisioned, regardless of usage.
• The standard Galaxy Cloud Solutions LLC 3-day money-back guarantee does not apply to bulk orders of five (5) or more VPS instances.
• A full refund will only be issued if: (a) provisioning fails entirely due to a fault on the part of the Company, or (b) the Customer fails to complete identity verification within 48 hours and no services have been provisioned.
• Partial refunds are not available under any circumstances.

4. Acceptable Use

All services provided under this Agreement are subject to Galaxy Cloud Solutions LLC's Acceptable Use Policy (AUP) and Terms of Service, both of which are incorporated herein by reference. The Customer acknowledges having read and agreed to both documents.

• VPS instances may not be resold, sublet, or transferred to any third party without prior written approval from the Company.
• VPS instances may not be used for bandwidth reselling, proxy services, or any activity listed as prohibited in the AUP.
• Each VPS instance must be used solely by the Customer or their authorized employees or contractors.
• The Customer is responsible for all activity occurring on any VPS instance provisioned under this Agreement.

5. Identity Verification

Prior to provisioning any services under this Agreement, the Customer must provide:

• A clear photograph of a valid government-issued photo ID (passport, driver's license, or national identity card).
• A selfie photograph of the Customer holding the government-issued ID, clearly showing both the Customer's face and the ID document.

Verification materials must be submitted to [email protected]. Failure to provide verification within 48 hours of signing this Agreement will result in cancellation and full refund.

6. Service Level & Uptime

The Company will make reasonable efforts to maintain service availability. See the Service Level Agreement (SLA) for specific uptime commitments. Status page: status.galaxycloudsolutions.com.

7. Capacity & Resource Limitations

The Company reserves the right to limit the number of VPS instances available to any single customer. The quantity listed in Section 2 represents the agreed allocation at the time of signing. Additional instances are subject to availability and a new or amended agreement.

8. Termination

• Either party may terminate this Agreement with 30 days written notice.
• The Company reserves the right to terminate immediately for violations of the AUP or Terms of Service, including fraud, abuse, or non-payment.
• Upon termination, all VPS instances will be stopped immediately. Data will be retained for 7 days then permanently deleted. No refunds for remaining billing period.
• If termination results from an AUP violation, data deletion may occur immediately.

9. Limitation of Liability

Galaxy Cloud Solutions LLC shall not be liable for any indirect, incidental, special, consequential, or punitive damages. Total liability shall not exceed the amount paid by the Customer in the thirty (30) days preceding the event giving rise to the claim.

10. Governing Law

This Agreement is governed by the laws of the State of North Dakota, without regard to its conflict of law provisions. Any dispute arising out of or relating to this Agreement shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association, conducted in North Dakota, consistent with the dispute resolution provisions of our Terms of Service. The Customer waives any right to participate in a class action lawsuit or class-wide arbitration.

11. Entire Agreement

This Agreement, together with the Terms of Service and AUP, constitutes the entire agreement between the parties. It may only be amended in writing signed by both parties.
