Terms of Service

1. Acceptance of Terms

By accessing or using any services provided by Galaxy Cloud Solutions LLC ("Company", "we", "us", or "our") at galaxycloudsolutions.com, you ("Customer", "you") agree to be bound by these Terms of Service ("TOS"), our Acceptable Use Policy, and our Privacy Policy, all of which are incorporated herein by reference. If you do not agree to these terms, do not use our services.

2. Eligibility

You must be at least 18 years of age to create an account and purchase services. By using our services, you represent and warrant that you are at least 18 years of age and have the legal capacity to enter into this agreement. If you are using our services on behalf of a company or organization, you represent that you have the authority to bind that entity to these Terms.

3. Services

Galaxy Cloud Solutions LLC provides virtual machine (VM) hosting services including Virtual Private Servers (VPS). We reserve the right to modify, suspend, or discontinue any service at any time with reasonable notice, except where immediate action is required to protect the security or integrity of our infrastructure.

All services are billed monthly in advance. Payment is due on the invoice date. Failure to pay within 7 days may result in suspension. Failure to pay within 14 days of suspension may result in termination and permanent data deletion. No refunds are provided for partial months or unused service periods. All prices are in USD. We reserve the right to change pricing with 30 days notice.

6. Service Level & Uptime

Galaxy Cloud Solutions LLC operates on a best-effort basis. We do not currently guarantee a specific uptime SLA. We are not liable for downtime caused by circumstances beyond our control including but not limited to ISP outages, power failures, hardware failures, natural disasters, DDoS attacks, or scheduled maintenance.

7. Bandwidth & Resource Usage

Each plan includes a monthly outbound bandwidth allocation. Bandwidth resets on the 1st of each calendar month.

Bandwidth Warnings: We will notify you via email when you reach 80% and 90% of your monthly bandwidth allocation.

Bandwidth Overage: Upon reaching 100% of your monthly bandwidth allocation, your VPS will be automatically suspended. You may resolve the suspension by: (a) waiting for your bandwidth to reset on the 1st of the following month, at which point your VPS will be automatically restored; or (b) paying an overage charge of $0.01 per GB for usage beyond your plan limit; or (c) upgrading to a higher plan. Bandwidth suspension is not considered service downtime for SLA purposes.

Network Resource Limits: In addition to monthly bandwidth limits, the following real-time resource limits apply to all plans. Violations may result in immediate automated suspension:

CPU and RAM usage are soft-limited to your plan allocation. Sustained abuse of shared infrastructure resources that negatively impacts other customers may result in throttling or suspension.

8. Acceptable Use

You agree to use our services only for lawful purposes. Please refer to our Acceptable Use Policy for detailed restrictions. Violations may result in immediate termination without refund.

8a. Automated Monitoring

By using our services, you acknowledge and consent to our automated monitoring systems which operate continuously on all customer VMs. These systems monitor running processes, network traffic, resource usage, outbound connections, and IP reputation. Monitoring is conducted to enforce our Acceptable Use Policy, protect our infrastructure, and ensure quality of service for all customers.

Automated enforcement actions including suspension may be triggered without prior notice when violations are detected. You will receive an email notification promptly after any automated suspension explaining the cause and resolution steps. Please refer to our Acceptable Use Policy for full details on automated monitoring and enforcement triggers.

8b. Automated Communications

By using our services, you consent to receiving the following automated emails from Galaxy Cloud Solutions LLC. These communications are essential to the operation of our services and cannot be opted out of while your account remains active:

8c. Portal Usage Tracking

We track actions performed within your client portal including VM control actions (reboot, shutdown, start), snapshot creation, password resets, plan upgrades, OS reinstalls, firewall rule changes, SSH IP allowlist changes, block storage volume management, and dashboard views. This data is used solely to improve our services, identify feature usage patterns, and provide you with accurate account history. This data is not sold or shared with third parties. Please refer to our Privacy Policy for full details on data we collect and retain.

8d. REST API Access

We provide a REST API that allows programmatic management of your VPS resources. Access is authenticated via a unique API token associated with your account, available in your client portal. You are responsible for keeping your API token secure. Do not share your token with third parties or embed it in publicly accessible code. If you believe your token has been compromised, you may regenerate it at any time from your dashboard. API usage is subject to rate limiting and all actions performed via the API are subject to these Terms of Service and our Acceptable Use Policy. We log API requests for security and abuse prevention purposes.

8e. Block Storage Volumes

Block storage volumes are additional persistent storage disks that can be attached to your VM. Volumes are priced at $2.00 per 10GB per month, with a maximum of 200GB of additional storage per VM. Block storage is billed monthly in addition to your base plan price. You are solely responsible for formatting, mounting, and managing your block storage volumes. We are not responsible for data loss resulting from volume removal — removing a block storage volume permanently and irreversibly deletes all data stored on it. This action cannot be undone.

8f. Firewall Rule Management

Your client portal provides tools to manage inbound firewall rules on your VM. You may add up to 20 custom firewall rules. Certain system rules (such as monitoring ports used by our infrastructure) are protected and cannot be modified or removed. You are solely responsible for the security implications of your firewall configuration. We are not liable for any security incidents resulting from misconfigured firewall rules. We reserve the right to override or modify firewall rules if required for security, abuse prevention, or infrastructure maintenance purposes.

8g. Plan Upgrades & Proration

You may upgrade your VPS plan at any time from your client portal. When you upgrade mid-billing-cycle, a proration calculation is applied: you receive a credit for unused days on your current plan, and are charged for the remaining days on your new plan. If the net proration amount exceeds $0.50, a separate invoice will be generated for the difference. If the net amount is a credit exceeding $0.50, the credit will be applied to your account balance for use on future invoices. Downgrades are not supported — you may only upgrade to a higher plan. Plan changes take effect immediately upon completion of the upgrade process.

9. Data & Backups

Galaxy Cloud Solutions LLC performs weekly automated backups of all customer VMs for disaster recovery purposes. These backups are retained for a minimum of two backup cycles. However, we do not guarantee backup availability or completeness, and backups are intended for infrastructure recovery purposes only — not for individual file or data restoration.

You are solely responsible for maintaining your own backups of critical data. We strongly recommend using our snapshot feature (available in your client portal) to create regular point-in-time snapshots of your VM. We are not liable for any data loss under any circumstances, including but not limited to hardware failure, accidental deletion, suspension, or termination.

OS Reinstall: If you use the OS Reinstall feature available in your client portal, all existing data on your VM will be permanently and irreversibly deleted. This action cannot be undone. We are not responsible for data loss resulting from customer-initiated reinstalls.

Block Storage Volumes: Block storage volumes attached to your VM are not included in our weekly VM backups. You are solely responsible for backing up data stored on block storage volumes. Removing a block storage volume permanently deletes all data on that volume. We are not liable for data loss resulting from block storage removal.

Snapshots: Snapshots are point-in-time copies of your VM disk and are stored on our infrastructure. Snapshots are not a substitute for offsite backups. We do not guarantee snapshot availability and snapshots may be lost in the event of a catastrophic infrastructure failure. Automated snapshot schedules are provided as a convenience feature and we do not guarantee successful completion of every scheduled snapshot.

10. Intellectual Property

All content, software, trademarks, logos, and materials provided by Galaxy Cloud Solutions LLC are the property of Galaxy Cloud Solutions LLC or its licensors and are protected by applicable intellectual property laws. You may not reproduce, modify, distribute, or create derivative works without our express written permission. You retain ownership of all content and data you store on our services.

11. DMCA & Copyright

We respect intellectual property rights. If you believe content hosted on our platform infringes your copyright, please send a DMCA takedown notice to [email protected] with the following information: identification of the copyrighted work, identification of the infringing material and its location, your contact information, a statement of good faith belief, and your signature. We will respond promptly to valid DMCA notices.

12. Warranty Disclaimer

OUR SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT OUR SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF HARMFUL COMPONENTS.

13. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, GALAXY CLOUD SOLUTIONS LLC SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, OR BUSINESS, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. OUR TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNT PAID BY YOU IN THE 30 DAYS PRIOR TO THE CLAIM.

14. Indemnification

You agree to indemnify, defend, and hold harmless Galaxy Cloud Solutions LLC and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses, including reasonable legal fees, arising out of or in any way connected with your access to or use of our services, your violation of these Terms, or your violation of any rights of another party.

15. Dispute Resolution

Any dispute arising out of or relating to these Terms or our services shall first be attempted to be resolved through good faith negotiation. If negotiation fails, disputes shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association, conducted in North Dakota. You waive any right to participate in a class action lawsuit or class-wide arbitration.

16. Termination

Either party may terminate services with 30 days written notice. We reserve the right to terminate immediately and without notice for violations of these Terms or our AUP, including but not limited to violations detected by our automated monitoring systems.

Upon termination or cancellation: your VM will be stopped immediately; all data will be retained for 7 days after which it will be permanently deleted; no refunds will be issued for the remaining portion of any billing period. If termination results from an AUP violation, data deletion may occur immediately without the 7-day retention period.

17. Governing Law

These Terms are governed by the laws of the State of North Dakota, United States, without regard to its conflict of law provisions.

18. Modifications

We reserve the right to modify these Terms at any time. We will notify you of material changes via email or a notice on our website at least 14 days before the changes take effect. Continued use of our services after notification constitutes acceptance of the updated Terms.
